Terms of Service

These Terms of Service (“Terms”) are a contract between you and [Legal entity] (“Sayvur,” “we,” or “us”). They govern your access to and use of the Sayvur platform — the website, mobile app, and related services that connect shoppers with neighborhood vendors and route a portion of platform revenue to local schools.

By creating an account, listing a product, clipping a deal, or otherwise using Sayvur, you agree to these Terms. If you don’t agree, please don’t use the platform.

Who can use Sayvur

You must be at least 18 years old to create a vendor account. You must be at least 13 to create a shopper account; if you’re between 13 and 18, you confirm a parent or guardian agrees to these Terms on your behalf.

You must provide accurate information when you sign up, keep it current, and keep your password secure. You are responsible for everything that happens under your account.

We may decline to create or may suspend any account at our discretion — for example, accounts created with false information, accounts that violate these Terms, or accounts associated with prior violations.

What Sayvur does

Sayvur is a marketplace. We connect shoppers and vendors; we don’t sell the goods or services listed on the platform ourselves. The vendor is the seller of record for every listing. Disputes about a specific transaction are between you and the vendor, though we’ll help mediate where we can.

How the school-donation flow works

100% of vendor listing feesare donated to local schools. “Listing fees” means the fees vendors pay us to list a product, deal, or coupon. It does not include token-purchase revenue, payment-processor fees collected by Stripe, or other platform revenue (which we use to operate Sayvur and fund the staff that keeps it running).

You select which school your participation supports during onboarding, and you can change it later. Donations are made on a regular cadence and reported in the platform’s school-impact dashboard.

Delivery tokens

Sayvur uses a two-bank token system to pay for delivery on shopper orders.

Earned tokens. You can earn delivery tokens by sharing deals with friends and through other promotions we run. Earned tokens expire 7 days after they are awarded.

Purchased tokens. You can buy delivery tokens through the platform. Purchased tokens do not expire.

Important properties of all tokens:

  • Tokens have no cash value outside the platform. They are a license to access discounted or token-priced delivery within Sayvur.
  • Tokens are non-transferable between accounts.
  • Tokens are not currency, securities, or a stored-value instrument. You cannot redeem them for cash, gift cards, or third-party goods.
  • When you spend tokens, the platform burns earned tokens first (FIFO across the 7-day windows), then purchased tokens.
  • Refund of purchased tokens is available within 14 days of purchase, only for tokens that have not yet been spent. We will not refund tokens that have been redeemed against a delivery, even if the delivery itself was refunded — those are separately handled by the vendor’s refund.

We reserve the right to adjust the token-cost-per-mile ladder as fuel and carrier costs change. Material changes will be announced via in-app banner with at least 7 days’ notice; unspent purchased tokens retain their dollar value at time of purchase.

Vendor terms

If you list anything on Sayvur, the rest of this section applies to you in addition to everything above.

Eligibility. You represent that you have the legal right to sell what you list, that your business is in good standing where you operate, and that you collect and remit any applicable sales tax. You are responsible for your own tax compliance.

What you can’t list. You may not list:

  • Goods or services you don’t have legal rights to sell.
  • Multi-level marketing (“MLM”) opportunities or recruiting offers — Sayvur is for genuine local commerce, not downline-building. We screen against a maintained MLM blocklist; circumventing it is grounds for account termination.
  • Illegal goods or services (controlled substances, stolen property, counterfeit items, weapons restricted in your jurisdiction).
  • Adult content, gambling, or content directed at minors that is otherwise inappropriate for a community-school platform.
  • Content that infringes another party’s intellectual property.
  • Items that misrepresent their origin, condition, or price.

Listing accuracy.Your listings must accurately describe what you’re selling, including price, condition, fulfillment options, and any restrictions. Promotional deals must be honored as described.

Fulfillment obligation. When a shopper places an order or redeems a clipped deal, you are responsible for fulfilling it within the timeframe you advertised. Persistent failure to fulfill is grounds for account suspension and is subject to chargeback.

Push pricing. When you push a deal to nearby shoppers, you pay tokens at the rates published in the vendor dashboard. Token pricing is per location and per-shopper-reach; the dashboard shows the exact cost before you submit. Submitting a push constitutes acceptance of the displayed price.

Refunds and disputes. You handle order-level refunds directly with shoppers through the vendor dashboard. We handle Stripe-side disputes (chargebacks); when a chargeback resolves against you, the disputed amount, plus the chargeback fee, is debited from your earnings.

Vendor verification. We may request business verification (location proof, sales-tax number, etc.) at any time. Failure to provide reasonable documentation can result in delisting.

Shopper terms

If you use Sayvur as a shopper, the rest of this section applies to you in addition to the general terms.

Clip and redeem rules.Clipping a deal saves it to your account at the price snapshot in effect when you clipped. Vendor edits to the deal after that don’t change your clip’s price; your clip is the canonical price for redemption. Clips have an expiration set by the vendor (or default to a platform-wide window). Expired clips can’t be redeemed.

No abuse of share-to-earn. Earning tokens by sharing deals is for genuine sharing with friends and family. Sending share links to numbers you control, automated mass-sending, or otherwise gaming the share-token mechanism is grounds for forfeiting earned tokens and potentially account suspension.

Honor your orders.Don’t place orders you don’t intend to pay for, fulfill the pickup window you select, and treat vendors and their staff with respect.

Account suspension and termination

We may suspend or terminate any account that:

  • Violates these Terms.
  • Engages in fraud or attempts to circumvent platform protections.
  • Receives sustained complaints from other users.
  • Has unpaid balances owed to the platform or to other users.

When we suspend or terminate, we’ll notify you by email at the address on file. You can appeal by replying. Suspension freezes earned tokens; purchased tokens remain refundable per the token-refund policy above.

You can close your account at any time from the account-settings page. Closing your account does not entitle you to a refund of spent purchased tokens, but unspent purchased tokens are refundable per the token-refund policy.

Content and intellectual property

Your content. You keep ownership of the content you post on Sayvur — vendor listings, product photos, reviews, etc. You grant Sayvur a non-exclusive, worldwide, royalty-free license to host, display, and distribute your content as needed to operate the platform (including in marketing materials promoting Sayvur and the school-donation initiative). You can revoke this license by deleting the content; the platform retains backups for the period required by our data-retention policy.

Our content.The Sayvur name, logo, platform code, and original platform content are owned by us. Don’t copy, reverse-engineer, or build a competing platform from them.

Reporting infringement. If you believe content on Sayvur infringes your copyright, send a DMCA notice to [Notice address] including the elements required by 17 U.S.C. § 512(c)(3). We respond promptly and remove content that warrants takedown.

Payment processing

Payments are processed by Stripe. By using Sayvur for paid transactions, you agree to Stripe’s terms of service. Sayvur never sees or stores your full card number, CVV, or banking details.

For vendors, payouts are also handled by Stripe (Stripe Connect). Payout timing and fees are described in the vendor onboarding flow and are subject to Stripe’s published schedules.

Disclaimers

The platform is provided “as is.”We work hard to keep Sayvur reliable and the listings accurate, but we don’t guarantee that the platform will be uninterrupted, error-free, or that listings perfectly match what a vendor delivers. We’re not responsible for the quality, safety, legality, or accuracy of items listed by vendors — that’s between you and the vendor.

No warranty as to vendor conduct.We screen vendors for basic eligibility, but we don’t audit them. If a vendor doesn’t fulfill, misrepresents an item, or otherwise acts badly, we’ll help mediate, but we’re not the seller of record and don’t insure transactions.

Delivery is currently provided through carrier partners. Delivery quality, timing, and damage liability are governed by the carrier’s terms, not Sayvur’s. We will not enable real-money delivery-token purchases for paying users until carrier integration is complete and tracked end-to-end.

Limitation of liability

To the fullest extent permitted by law, Sayvur, its officers, employees, and partners are not liable for:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Lost profits, lost data, or lost goodwill.
  • Damages exceeding the greater of $100 or the amount you paid Sayvur (excluding token purchases that we have already refunded) in the 12 months before the claim arose.

Some jurisdictions don’t allow these limits, in which case they apply only to the extent permitted.

Indemnification

You agree to defend and indemnify Sayvur from any claims, damages, and reasonable attorneys’ fees arising out of (a) your violation of these Terms, (b) your content, (c) your use of the platform, or (d) your violation of any third-party right (including intellectual property and privacy).

Disputes

Try to work it out first. If you have a problem, email us at legal@sayvur.com with the details and we’ll try to resolve it informally within 30 days.

Arbitration.If we can’t resolve the dispute informally, the dispute will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be held in [Governing state], in English, and the arbitrator’s decision will be final.

No class actions. You and Sayvur agree to bring claims only on an individual basis, not as part of a class or representative action.

Small claims exception. Either party can bring a qualifying claim in small-claims court instead of arbitration.

30-day opt-out. You may opt out of the arbitration provision by sending written notice to [Notice address]within 30 days of accepting these Terms. Opting out doesn’t affect any other part of these Terms.

Governing law

These Terms are governed by the laws of the State of [Governing state] without regard to its conflict-of-laws rules. For any matter not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in [Governing state].

Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via an in-app banner with at least 14 days’ notice. The “Last updated” date at the top of this page reflects the most recent revision. Continuing to use Sayvur after a material change goes into effect means you accept the updated Terms.
